LegalTerms
Please read these terms carefully before using RadPro AI.
These Terms of Service ("Terms") govern your use of RadPro AI's radiology reporting assistant ("Service"). RadPro AI is a trade name of Radiology Pro AI Corp., an Ontario corporation, and references to "RadPro AI," "we," or "us" in these Terms mean that corporation.
How you accept: You accept these Terms by ticking the required box at signup that says you agree to them. If you sign up with Google, or your account was created before October 4, 2026, you accept them in the Service instead. We record which version of these Terms you accepted and when. If you do not accept these Terms, do not use the Service.
Which version applies: This version applies to an account created on or after October 4, 2026 from the day the account is created. For an account created before October 4, 2026, it applies from November 3, 2026, after notice by email; until then the Terms effective September 5, 2025 continue to apply to that account.
Who these Terms cover: These Terms apply to everyone who uses the Service. Section 4 sets out who may hold an account.
RadPro AI is a web-based radiology reporting assistant. From the text you provide, it structures findings into a report, drafts an impression, checks the report for inconsistencies, and offers two optional features: a list of differential considerations, with the findings for and against each, and a literature review. The Service also includes report templates and detection of patient identifiers in the text you enter. RadPro AI also offers RadPro Hub, an optional Windows helper that moves text between your reporting system and the Service on a key press.
RadPro AI does not provide medical advice or treatment, it does not make the diagnosis, and it is not intended for use as a medical device.
Intended use: RadPro AI is a text drafting tool for radiologists. It drafts report text, including impressions and follow-up recommendations, for your review. It is intended to work only on findings text that the radiologist enters after interpreting a study, and on text transcribed from screenshots of text documents, such as typed reports, or worksheets that you review together with the study. It is not intended to receive, process or analyze medical images or signals, and it is not intended to replace the radiologist's interpretation or clinical judgment. Do not upload medical images to the Service.
Optional features: The differential considerations and the literature review are offered for your independent review. They are not a diagnosis.
Output can be inaccurate: Output is produced by AI models and can be wrong, incomplete, or inconsistent with the text you provided, even when it reads well. You can review the basis of every output against the findings you entered, and you must review and verify all output against your own interpretation and source material, and correct it, before you use it in a report or in patient care.
Emergency and time-critical use: The Service is not designed or guaranteed for emergency or time-critical use, and RadPro AI makes no commitment about its availability or speed for such use. You may use it at your discretion. You remain responsible for reporting on time and for communicating critical or urgent findings through your institution's process, whether or not the Service is available or a draft is ready.
Your responsibility: Final clinical decisions, interpretations, and patient care remain the sole responsibility of the healthcare professional. Never rely on AI output without your own professional review.
Who may hold an account: Accounts are only for (a) radiologists licensed to practise medicine, including diagnostic radiology, in every jurisdiction where the law requires a licence for the studies they report, and (b) radiology residents and fellows who use the Service under the supervision of such a licensed radiologist. When you accept these Terms, you confirm that you meet one of these requirements, and you agree to stop using the Service if you no longer do.
Your organization: If you report for a hospital, clinic, group or other organization, you are responsible for having its approval before you use the Service with patient information. Section 7 explains what this means for personal health information in Ontario.
Your account: You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Do not share your account or sign-in details with anyone. You agree to notify us immediately of any unauthorized access or use of your account.
You agree not to: (a) violate any applicable laws or regulations, including privacy laws such as PHIPA, PIPEDA and HIPAA; (b) enter information you are not authorized to disclose, or process data without proper patient consent where it is required; (c) upload or transmit viruses or malicious code; (d) attempt to gain unauthorized access to any part of the Service, or to get around its identifier detection, usage limits or security controls; (e) share your account or sign-in details, or let anyone else use your account; (f) access the Service by automated means, scrape it or load test it; (g) reverse engineer the Service, except as the law allows or as our responsible disclosure program on the Security page permits; (h) use the Service to build a competing service; (i) interfere with or disrupt the Service or its servers; (j) upload medical images, or otherwise use the Service outside the intended use described in Section 3; or (k) use the Service for any illegal purpose.
AI provider policies: The AI models behind the Service run on Amazon Web Services. The acceptable use policies of Amazon Web Services and of the model providers it offers apply to the requests the Service sends for you, and you agree not to use the Service in a way those policies prohibit.
As a healthcare professional using RadPro AI, you are solely responsible for: (a) verifying all AI-generated content before use in patient care; (b) maintaining your professional judgment and not relying solely on AI output; (c) ensuring patient consent where required; (d) complying with your institution's policies and procedures; (e) maintaining patient confidentiality; (f) reporting any errors or issues promptly; (g) using the Service only for its intended use described in Section 3; (h) giving patients any notice about your use of the Service that the law requires.
Records: RadPro AI is not a medical record system. Keep the final report in your institution's record system; you are responsible for any record-keeping duty you have.
How we handle data: Our Privacy Policy and Data Processing Agreement describe what we collect, where it is stored and processed, and how long we keep it. Saved reports are stored in Toronto, Canada. The AI steps run on Amazon Web Services in the United States; an image uploaded for text extraction is sent as it is, and text sent with identifier protection switched off carries its identifiers. The current list of our subprocessors and their locations is available on request at admin@radpro.ai.
Canadian privacy law: We handle personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
Ontario (PHIPA): If you are a health information custodian under Ontario's Personal Health Information Protection Act, 2004 (PHIPA), for example a radiologist or radiology group in private practice, you authorize RadPro AI to act as your agent and electronic service provider to provide the Service, and RadPro AI acts in that role. If you report for a hospital or another custodian, RadPro AI acts as that custodian's agent and electronic service provider only once the custodian has authorized use of the Service; until then, you must not enter that custodian's personal health information. In that role, RadPro AI uses and discloses personal health information only to provide the Service as the custodian permits and never for its own purposes, and notifies the custodian at the first reasonable opportunity if personal health information it handles for the custodian is stolen, lost, or used or disclosed without authority. A PHIPA agent agreement for a named custodian is available on request.
United States (HIPAA): RadPro AI signs a Business Associate Agreement with a HIPAA covered entity on request, on the Enterprise plan or by separate agreement. Our Data Processing Agreement is not a Business Associate Agreement by itself. If you are a covered entity, or act for one, do not submit protected health information to the Service until a Business Associate Agreement is signed. Under a signed Business Associate Agreement, we give notice of a breach as that agreement sets out.
Breach notice: For anyone else, we notify you of a breach affecting your data as described in the Data Processing Agreement. Where we are responsible for information ourselves under PIPEDA, such as your account details, we report a breach of security safeguards that creates a real risk of significant harm to the Office of the Privacy Commissioner of Canada, and notify the people affected, as soon as feasible.
Identifier protection: Identifier detection in the Service is automated and can miss items, so you must review each item before processing. Switching identifier protection off sends identifiable text to the United States; do not switch it off for a custodian's personal health information unless the custodian has approved it.
Keeping data: Reports stay in your account until you delete them or your account, as described in the Privacy Policy.
Your responsibilities: You are responsible for having the authority to submit the information you enter, for obtaining any patient consent the law requires, and for following your organization's policies.
Plans and limits: The free plan and the paid plans include the features and usage limits published on the Pricing page, as they stand when you subscribe. We may change or end the free plan at any time.
Fees and taxes: Prices are in US dollars. Fees are billed in advance by our payment processor, Stripe, and do not include sales taxes, which are added where they apply.
Renewal and cancellation: A paid plan renews automatically for the same period (a month or a year) until you cancel. You can cancel at any time in your account; cancellation takes effect at the end of the period you have paid for, and you keep paid features until then.
Free trial: If a free trial is offered, your payment method is charged automatically when the trial ends unless you cancel before then. We send a reminder before the trial ends.
Pause: Monthly plans can be paused and resumed from your account. While a plan is paused, billing stops and paid features are unavailable. Annual plans cannot be paused.
Refunds: Fees are non-refundable, except as required by law and except that we refund, in proportion, the fees you prepaid for the period after your access ends if we end your paid plan under Section 13 without cause, or if you close your account because you do not accept a change under Section 14.
Price changes: We give at least 30 days' notice of a price change. It applies from your next renewal.
Non-payment: If a payment fails and is not corrected after notice, we may suspend paid features or move your account to the free plan.
Credits: Referral rewards and other credits are account credits with no cash value, cannot be transferred, and may be reversed if the payment that earned them is refunded or disputed.
The Service: RadPro AI and its licensors own the Service, including its software, prompts, the templates it provides and its documentation.
Your content and output: As between you and RadPro AI, you own the text you enter and the output the Service produces for you. You give RadPro AI a non-exclusive licence to host, process and transmit your content only to provide the Service to you, as described in the Privacy Policy and the Data Processing Agreement. We do not use your content to train AI models.
Shared library: If you submit a template to the shared library, you give RadPro AI a perpetual, irrevocable, royalty-free, worldwide licence to edit it and make it available to other users without your name, and you confirm that it contains no patient information and that you have the right to share it. A template added to the library stays there after you delete your account.
Feedback: If you send us feedback or suggestions, we may use them without obligation to you.
RadPro Hub: RadPro Hub is licensed, not sold. You may install and use it only with the Service, and you may not copy, modify or reverse engineer it except as the law allows.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND THE DATA PROCESSING AGREEMENT, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADPRO AI DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE OR SUITABLE FOR CLINICAL USE.
(A) TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR GOODWILL, EVEN IF ADVISED THAT THEY WERE POSSIBLE. THIS DOES NOT LIMIT YOUR OBLIGATION TO PAY FEES OR YOUR INDEMNITY IN SECTION 12.
(B) RADPRO AI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO THE GREATER OF (I) THE FEES YOU PAID TO RADPRO AI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, AND (II) 1,000 CANADIAN DOLLARS.
(C) FOR CLAIMS ARISING FROM A BREACH OF RADPRO AI'S SECURITY OR PRIVACY OBLIGATIONS UNDER SECTION 7 OR THE DATA PROCESSING AGREEMENT THAT WAS CAUSED BY RADPRO AI OR ITS SUBPROCESSORS, THE LIMIT IN (B) IS REPLACED BY THE GREATER OF (I) THREE TIMES THE FEES YOU PAID TO RADPRO AI IN THOSE 12 MONTHS, AND (II) 1,000 CANADIAN DOLLARS.
(D) THESE LIMITS ARE RADPRO AI'S TOTAL LIABILITY, INCLUDING ITS LIABILITY UNDER THE INDEMNITIES IN SECTION 12 AND FOR ITS SUBPROCESSORS. ALL CLAIMS TOGETHER NEVER EXCEED THE LIMIT IN (C).
(E) CLINICAL RESPONSIBILITY FOR A REPORT RESTS WITH THE RADIOLOGIST WHO SIGNS IT, AS SET OUT IN SECTIONS 3 AND 6. RADPRO AI IS NOT RESPONSIBLE FOR A CLINICAL DECISION, INTERPRETATION OR REPORT THAT YOU MAKE OR SIGN, EXCEPT TO THE EXTENT ITS OWN BREACH OF THESE TERMS OR ITS NEGLIGENCE CAUSED THE LOSS, AND THEN ONLY WITHIN THE LIMITS ABOVE.
(F) NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
By you: You will defend and indemnify RadPro AI against third-party claims, and the resulting damages, losses and reasonable costs, to the extent they arise from (i) your breach of these Terms, including Sections 4, 5 and 7; (ii) the content you enter in the Service, including information you were not authorized to disclose; or (iii) a clinical decision, interpretation or report made by you or under your authority, except to the extent the claim was caused by RadPro AI's breach of these Terms or its negligence.
By RadPro AI: RadPro AI will defend and indemnify you against third-party claims, and the resulting damages, losses and reasonable costs, to the extent they arise from (i) a claim that the Service, as provided by RadPro AI and used as these Terms allow, infringes a third party's intellectual property rights; (ii) RadPro AI's negligence or wilful misconduct; or (iii) unauthorized access to, or use or disclosure of, your data caused by the failure of RadPro AI or its subprocessors to meet the security or privacy obligations in Section 7 or the Data Processing Agreement. RadPro AI has no obligation under (iii) for a breach that you caused, for example by sharing your sign-in details, leaving a signed-in workstation unattended, or switching identifier protection off.
Infringement claims: RadPro AI's obligation under (i) does not cover a claim based on your content, on a combination of the Service with anything RadPro AI did not provide, on a change not made by RadPro AI, or on use that these Terms do not allow. If the Service is, or RadPro AI believes it may become, the subject of an infringement claim, RadPro AI may change it so that it no longer infringes, obtain the right for you to keep using it, or end your access to the affected part and refund the fees you prepaid for the period after that.
Procedure: The party asking to be indemnified must notify the other party promptly of the claim (a delay excuses the other party only to the extent it is harmed by the delay), let the other party control the defence and any settlement (a settlement that admits fault for, or imposes an obligation on, the indemnified party needs its consent, which it will not unreasonably withhold), and give reasonable help at the other party's expense.
Limits: RadPro AI's obligations under this Section are subject to the limits in Section 11.
By you: You may close your account at any time by deleting it on the Account page or by contacting us. Deleting your account on the Account page removes your reports, templates and settings from the Service at once, and we cannot give you a copy afterwards, so download anything you need first.
By us, with notice: We may end your access to the Service, or close your account, for any reason by giving you 30 days' notice by email. During those 30 days you can keep using the Service and export your reports, or ask us for a copy as described in our Data Processing Agreement. If you have a paid plan, we refund the fees you prepaid for the period after your access ends, as set out in Section 8.
By us, immediately: We may suspend your access immediately, without prior notice, if we reasonably believe that (a) the account is being used to abuse the Service or in material breach of these Terms, (b) continued access creates a security risk to the Service, to other users or to patient information, or (c) suspension is required by law or by a court or regulator. Where the law allows, we will tell you the reason and how to resolve it. If we then close the account, we will give you 30 days to export your reports or ask us for a copy, unless the law or the security risk prevents it.
After termination: Your right to use the Service ends. If your account is closed other than by deleting it yourself, you may ask for a copy of your reports within 30 days, and we then delete your data as described in the Data Processing Agreement. Deleted data can remain in encrypted database backups until those backups are deleted; not every backup is yet deleted on a fixed schedule. Backups are used only to recover the Service from a failure, and deleted data restored from a backup is deleted again. Audit records are kept as described in the Privacy Policy. Sections 3, 6, 7 (for any data we still hold), 8 (for amounts owed and refunds due), 9, 10, 11, 12, 15, 16 and 17 continue to apply.
We may change these Terms. For a material change, we will email the address on your account and show a notice in the Service at least 30 days before the change takes effect, unless the change is required sooner by law or relates only to a new feature. If you do not agree, you may close your account before the change takes effect and, for a paid plan, we will refund the fees you prepaid for the period after that date. If you keep using the Service after the change takes effect, the changed Terms apply to you, and we may ask you to accept them in the Service. Each version of these Terms shows its effective date, and earlier versions are available on request.
Your agreement with RadPro AI consists of, in this order: (a) any agreement you have signed with RadPro AI for the Service, such as an enterprise agreement, a Business Associate Agreement or a PHIPA agent agreement; (b) the Data Processing Agreement, for the processing of personal information; (c) these Terms; and (d) the Professional Use Agreement you accept in the Service. If they conflict, the earlier document in this list controls, except that Section 11 of these Terms limits liability under the Data Processing Agreement unless a signed agreement says otherwise.
The Privacy Policy is a notice of how we handle personal information. It is not part of the agreement.
This agreement is the entire agreement between you and RadPro AI about the Service, and it replaces any earlier agreement or statement about the Service.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules. You and RadPro AI agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Service, except that RadPro AI may also bring a claim for fees owed, or ask for an injunction to protect the Service or its intellectual property, in any court that has jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Notices: We send notices to the email address on your account. Send notices to us at admin@radpro.ai. You agree to receive these Terms, notices and other communications electronically.
Assignment: You may not transfer these Terms or your account without our written consent. We may transfer them, with notice to you, to a successor in a merger, reorganization or sale of all or part of our business.
Events beyond control: Neither party is responsible for a delay or failure caused by events beyond its reasonable control, such as an outage at a hosting or AI provider, a natural disaster or an act of government. This does not excuse your obligation to pay fees or our security obligations.
Preview features: A feature labelled beta or preview is offered for you to try, may change or end at any time, and comes with no commitment beyond these Terms.
Support and availability: We give support by email on a reasonable-efforts basis. There is no service level commitment unless you have signed one with us.
Severability and waiver: If a provision of these Terms cannot be enforced, it is limited to the minimum extent needed and the rest of these Terms stays in effect. Not enforcing a provision is not a waiver of it.
Relationship: You and RadPro AI are independent parties. These Terms create no partnership or employment relationship, and no agency other than the role RadPro AI takes for a custodian under Section 7.
Language: These Terms are written in English.
If you are a covered entity under HIPAA, a signed Business Associate Agreement is required before you send any PHI to the Service. We sign one on request, on the Enterprise plan or by separate agreement. Our Data Processing Agreement is not a BAA by itself. Contact admin@radpro.ai to request one.
If you are a health information custodian under Ontario's PHIPA, or you report for one that has authorized use of the Service, we provide an agent agreement for that custodian on request. Contact admin@radpro.ai.
Our Data Processing Agreement sets out our commitments under PHIPA, PIPEDA, GDPR and HIPAA, and is part of your agreement with us (Section 15). The current list of our subprocessors and their locations is available on request. For a separately signed copy of the DPA, contact admin@radpro.ai.
Enterprise customers can ask for a service level agreement. Contact admin@radpro.ai.
If you have any questions about these Terms of Service, please contact us:
Section 15 sets out the documents that make up your agreement with RadPro AI and which one controls if they conflict. The Privacy Policy describes how we handle personal information; it is a notice, not part of that agreement.
